รู้ไหมว่า ปัจจุบันประเทศไทยมี SMEs และ Startups รวมกันแล้วมากกว่า 3 ล้านราย
ก่อให้เกิดการจ้างงานถึง 13 ล้านคน และสร้างมูลค่าถึง 1 ใน 3 ของ GDP ประเทศไทย
ซึ่งนับว่า ธุรกิจขนาดเล็กและกลาง เป็นกลไกที่สำคัญของเศรษฐกิจประเทศไทย เลยทีเดียว

แต่ก็ปฏิเสธไม่ได้ว่าธุรกิจ SMEs และ Startups เหล่านี้ ยังมีข้อจำกัดในการเข้าถึงแหล่งเงินทุนอยู่มาก ทำให้ต้องอาศัยการกู้สถาบันการเงินหรือแหล่งเงินนอกระบบที่ให้วงเงินต่ำแต่ดอกเบี้ยสูง ซึ่งส่งผลให้บริษัทกลุ่มนี้เติบโตได้ลำบาก

นี่จึงเป็นจุดเริ่มต้น ให้ทางตลาดหลักทรัพย์แห่งประเทศไทย พัฒนา “LiVE Exchange” ซึ่งทำหน้าที่เป็นตลาดหลักทรัพย์สำหรับ SMEs และ Startups ที่ระดมทุนในวงกว้าง

และ “LiVE Platform” ที่ทำหน้าที่เป็น Education Platform ให้เหล่าผู้ประกอบการเริ่มต้นเข้ามาศึกษาหาความรู้ด้านธุรกิจและเตรียมความพร้อมในการระดมทุน

โดยมีเป้าหมายที่จะช่วยให้ธุรกิจ SMEs และ Startups มีช่องทางการระดมทุนใหม่ ผ่านกลไกตลาดทุน และเป็นตัวช่วยในการเตรียมความพร้อมพัฒนาธุรกิจอย่างรอบด้าน ให้กับทั้งผู้ประกอบการ SMEs และ Startups

แล้วรายละเอียดของ “LiVE Exchange” และ “LiVE Platform” เป็นอย่างไร ?
ลงทุนแมนจะสรุปจากงาน LiVE Demo Day ให้ฟัง

หลายคนทราบกันดีว่า การที่จะนำบริษัทไปจดทะเบียนในตลาดหลักทรัพย์ฯ ไม่ว่าจะเป็นบนกระดาน SET หรือ mai นั้นต้องใช้เวลาค่อนข้างนาน ใช้ทุนทรัพย์สูง และต้องผ่านกระบวนการต่าง ๆ หลายขั้นตอน

ทำให้การระดมทุนผ่านตลาดทุนนั้นกลายเป็นเรื่องยากสำหรับหลายบริษัท โดยเฉพาะบริษัทระดับ SMEs และ Startups

เพราะต้องบอกว่า ถึงแม้ว่าจะมีกระดาน mai ขึ้นมาแล้วก็ตาม แต่ก็ยังถือว่ามีกฎเกณฑ์สำหรับเข้าจดทะเบียนในตลาดหลักทรัพย์ที่ยากเกินไปสำหรับธุรกิจขนาดเล็ก

เช่น บริษัทต้องทำบัญชีตามมาตรฐาน PAEs เป็นระยะเวลา 3 ปีติดต่อกัน ทุนจดทะเบียน 50 ล้านบาทขึ้นไป และต้องมีกำไรไม่ต่ำกว่า 10 ล้านบาท

กฎเกณฑ์เหล่านี้ไม่ใช่แค่เป็นเรื่องที่ทำได้ยากเท่านั้น แต่ต้องใช้ระยะเวลาทำธุรกิจพอสมควร อย่างน้อย 4 ปีขึ้นไป จึงจะสามารถเข้าระดมทุนตามกฎเกณฑ์ของสำนักงาน ก.ล.ต. และตลาดหลักทรัพย์ฯ รวมถึงมีค่าใช้จ่ายที่สูง

อย่างการทำบัญชีตามมาตรฐาน PAEs บริษัทต้องจ้างผู้ตรวจสอบบัญชี ปีละ 1-2 ล้านบาท ค่าที่ปรึกษาทางการเงินอีก 5 ล้านบาท ผู้จัดจําหน่ายหลักทรัพย์เก็บอีก 3% ของเงินที่ระดมทุน คิดรวมแล้วมีค่าใช้จ่ายจะถึง 10 กว่าล้านบาทเลยทีเดียว

จากเหตุผลเหล่านี้ ทำให้ตลาดหลักทรัพย์ฯ จำเป็นต้องพัฒนาแหล่งระดมทุนกระดานใหม่ขึ้นมา ที่มีชื่อเรียกว่า LiVE Exchange ซึ่งจะลดกฎเกณฑ์ ผ่อนปรนข้อกำหนดบางอย่างลง บนการดูแลนักลงทุนที่เหมาะสม

เช่น
- จากต้องทำบัญชีตามมาตรฐาน PAEs ถึง 3 ปี เหลือเพียงแค่ 1 ปี
- บริษัทมีทางเลือกว่าจะจ้างที่ปรึกษาทางการเงิน Financial Advisor (FA) หรือไม่ก็ได้
เพื่อให้ SMEs และ Startups สามารถเข้าถึงแหล่งเงินทุนในระบบตลาดทุนได้ง่ายขึ้นกว่าเดิม

อย่างไรก็ตาม ทางตลาดหลักทรัพย์ฯ ก็พบปัญหาอีกว่า
บรรดาบริษัทขนาดเล็ก ยังขาดความรู้ ความเข้าใจ และความพร้อมในหลาย ๆ ด้าน เช่น ด้านการทำระบบบัญชีให้เป็นมาตรฐาน ความรู้ด้านกฎหมาย การจัดการระบบข้อมูลในองค์กร

นี่จึงเป็นเหตุผลสำคัญ ที่ทำให้เกิด “LiVE Platform”
โดย LiVE Platform ทำหน้าที่เป็น Education Platform ให้เหล่าผู้ประกอบการเริ่มต้นเข้ามาศึกษาหาความรู้ด้านธุรกิจ ตั้งแต่การทำบัญชีการเงิน การตลาด การจัดการ จนไปถึงการระดมทุน ซึ่งปัจจุบันมีอยู่หลากหลายหลักสูตร และเปิดให้บริการเรียบร้อยแล้ว บนเว็บไซต์ https://www.live-platforms.com

และเมื่อบริษัทมีความต้องการในการเข้าระดมทุน ก็สามารถเข้าสู่ “Scaling Up Platform” ซึ่งเป็นโปรแกรมการเตรียมธุรกิจให้พร้อมสำหรับการระดมทุน โดยมี 4 กระบวนการที่คอยช่วยเหลือคือ

1. Advanced Courses หรือหลักสูตรอบรมเชิงลึกจากบริษัทที่เชี่ยวชาญ
เช่น เรื่องของบัญชี ก็จะได้ PwC หนึ่งใน Big 4 หรือบริษัทผู้ตรวจสอบบัญชีรายใหญ่ระดับโลก เข้ามาแนะนำและให้ความรู้โดยตรง หรืออยากรู้เรื่องกฎหมาย ก็มี Baker McKenzie มาทำหลักสูตรให้

2. สนับสนุนเครื่องมือและระบบต่าง ๆ ที่จำเป็นต่อธุรกิจ
เพื่ออำนวยความสะดวกและเพิ่มประสิทธิภาพในการบริหารจัดการมากยิ่งขึ้น
เช่น บัญชี การควบคุมภายใน ระบบ ERP Back Office HR และอื่น ๆ อีกมากมาย

3. ให้คำปรึกษาต่าง ๆ ผ่านโครงการและแพลตฟอร์มต่าง ๆ
อย่างเช่น LiVE Acceleration Program โครงการที่ให้เหล่าธุรกิจเข้าร่วม เพื่อรับการอบรมเชิงปฏิบัติการ และรับคำแนะนำจากผู้เชี่ยวชาญ รวมถึงได้เงินทุนสนับสนุนสูงสุด 1.5 ล้านบาทต่อบริษัท จากกองทุนส่งเสริมการพัฒนาตลาดทุน (CMDF) เพื่อจ้างที่ปรึกษาหรือปรับปรุงระบบงาน

โดยตัวอย่างบริษัทที่เคยเข้าร่วมคือ “Specialty Natural Products (SNP)” ซึ่งเป็น SMEs ที่ทำธุรกิจเกี่ยวกับผลิตภัณฑ์และนวัตกรรมจากสมุนไพรไทย

และ “Shippop” ซึ่งเป็น Startups ผู้ให้บริการจองขนส่ง เทียบราคาขนส่ง และจัดการการขนส่งพัสดุออนไลน์ครบวงจร

ผู้ประกอบการจากทั้งสองบริษัทเล่าให้ฟังว่า หลังจากเข้าร่วม LiVE Acceleration Program ก็ไม่เพียงแต่ได้รับความรู้และเงินสนับสนุนในการเตรียมความพร้อมเท่านั้น แต่ยังได้พันธมิตรมาเสริมความแข็งแกร่งให้ธุรกิจตนเองด้วย

4. สนับสนุนการพบปะเจรจากับผู้บริหารบริษัทรุ่นใหญ่ที่จดทะเบียนในตลาดหลักทรัพย์แล้ว เพื่อเปิดโอกาสในการต่อยอดธุรกิจร่วมกัน หรือสร้างความร่วมมือด้วยกัน

นอกจากนี้ LiVE Platform ยังได้ร่วมมือกับอีกหลายหน่วยงาน
เช่น มหาวิทยาลัยหอการค้าไทย ที่ได้ทำ MOU ร่วมมือกับตลาดหลักทรัพย์ฯ เปิดตัวโครงการ Embryo Incubation Program ที่ช่วยให้ความรู้ความเข้าใจ เกี่ยวกับการระดมทุนใน LiVE Exchange

นอกจากนั้นยังมีการร่วมมือกับอีกหลายองค์กรพันธมิตร ทั้งจากภาครัฐและเอกชน มากกว่า 25 ราย
เช่น สภาวิชาชีพบัญชีฯ, สภาอุตสาหกรรมแห่งประเทศไทย, ผู้เชี่ยวชาญด้านกฎหมาย Baker Mckenzie และองค์กรชั้นนำอื่น ๆ อีกมากมาย

อีกเรื่องที่น่าสนใจมาก ๆ ก็คือ บริการทั้งหมดบนเว็บไซต์ LiVE Platform นั้น “ไม่มีค่าใช้จ่ายใด ๆ ทั้งสิ้น”

เมื่อธุรกิจ SMEs และ Startups เตรียมความพร้อมเสร็จเรียบร้อยแล้ว และต้องการระดมทุนผ่านกลไกตลาดทุน ก็จะถูกส่งต่อไปที่ LiVE Exchange ตลาดสำหรับ SMEs และ Startups เพื่อระดมทุนในวงกว้าง ซึ่งจะเปิดให้บริการภายในปี 2021 นี้

ในเบื้องต้น ทางสำนักงาน ก.ล.ต. ได้อนุญาตให้นักลงทุน 5 ประเภท ที่มีความรู้ความเข้าใจ และรับความเสี่ยงจากการลงทุนในธุรกิจ SMEs และ Startups สามารถลงทุนในกระดาน LiVE Exchange ได้

โดยนักลงทุน 5 ประเภท ประกอบด้วย

1. ผู้ลงทุนสถาบัน
2. Venture Capital (VC) หรือธุรกิจเงินร่วมลงทุน
3. Angel Investor
4. Qualified Investor ตามเกณฑ์ที่สำนักงาน ก.ล.ต. เห็นสมควรว่า สามารถรับความเสี่ยงได้และมีทักษะการลงทุนที่เพียงพอ ซึ่งจะดูจากขนาดสินทรัพย์ที่มี หรือรายได้ต่อปี หรือพอร์ตการลงทุน
5. กลุ่มคนคุ้นเคยของบริษัท เช่น พนักงาน

ซึ่งตรงนี้ต้องหมายเหตุเอาไว้ด้วยว่า ทางสำนักงาน ก.ล.ต. จะมีการประกาศรายละเอียด กฎเกณฑ์ในการพิจารณาผู้ลงทุนอย่างชัดเจนเต็มรูปแบบในเร็ว ๆ นี้ ซึ่งทางลงทุนแมนก็จะสรุปมาเล่าให้ฟังกันอย่างแน่นอน

สรุปแล้ว LiVE Platform คือ ศูนย์รวมความรู้ด้านธุรกิจที่หลากหลาย สำหรับผู้ประกอบการ SMEs และ Startups ตั้งแต่การทำบัญชี การตลาด การจัดการ ไปจนถึงการเตรียมความพร้อมสู่การระดมทุนผ่านกลไกตลาดทุน

ส่วน LiVE Exchange คือ ตลาดสำหรับ SMEs และ Startups ที่ต้องการระดมทุนในวงกว้าง และช่วยเปิดโอกาสให้ธุรกิจ SMEs และ Startups สามารถยกระดับธุรกิจของตนให้เป็นที่รู้จักมากขึ้น และเติบโตพร้อมระดมทุนต่อไป ใน SET หรือ mai

3.強烈建議社團仍以辦理線上活動為主；在防疫相關規範下，於7/27~8/9期間，有條件開放室內50人、室外100人以下之實體活動（體育性活動限制室內20人、室外40人以下）；音樂性社團如無法全程配戴口罩，則不開放辦理活動；其餘體育性及旅遊性活動，因易有肢體碰觸或無法全程配戴口罩(住宿)，將輔導社團嚴格遵守防疫政策，如降低活動人數、住宿一人一室等。

According to the Central Epidemic Command Center (CECC), the current alert level will be lowered to Level 2 starting July 27. In response to this, the University is asking all of you to fully comply with the newly adjusted measures as follows.

1.Starting July 27, the Main Campus will be accessed via the current three to seven gates, from 7 a.m. to 7 p.m. The campus can only be accessed in the evenings through the three gates. Level 3 access control will continue to be implemented to all university premises.

2.Summer courses will continue to be taught remotely. If necessary, applications for in-person classes may be filed with the Office of Academic Affairs. To this end, each in-person class should accommodate no more than 50 people. Rental of the University’s lecture buildings remains unavailable.

3. Club events are strongly advised to be held online. In compliance with the regulations during the lowered alert level period (July 27-August 9), in-person events with no more than 50 people indoors or 100 people outdoors may be held (the number is reduced to 20 people indoors and 40 people outdoors for sports events). In-person music club events should not be held if the mask-wearing mandate cannot be enforced. For other types of sports and leisurely events where physical contact cannot be avoided or masks cannot be worn at all times (e.g. accommodation), the organizing clubs will be instructed to strictly abide by preventive measures such as reducing the number of participants and following the one person per room policy.

4. The Student Activity Center will reopen student club offices and open rental of its spaces. However, the food and beverage club will remain closed before resumption of dining-in is announced by the Taipei City Government.

7. Preventive measures at the NTU Library are as follows:
1) The library will reopen to the general public beginning 8 a.m. August 2. From July 27 to 30, it will remain closed and only the circulation service is available.

2) All floors will reopen (including the B1 study rooms). The opening hours are 8 a.m.-5 p.m., Mon. through Fri. The library is closed on weekends.

3) Criss-cross seating will be implemented in the reading areas and study rooms. The library may accommodate up to 400 people in its reading areas (1st to 5th floors). The reading rooms may accommodate up to 394 people. Click the following for more information

8. The Athletic Department will reopen the outdoor Sports Field, baseball and softball fields, tennis courts, basketball courts and volleyball courts. Indoor ball courts and the fitness center at the NTU Sports Center and the old Sports Center will be reopened to all members of the NTU community. Please wear a mask at all times when you play sports. Clustering in these locations is strictly forbidden. 9.On-campus food locations provide take-outs only; off-campus restaurants will follow the announcements by the Taipei City Government. Talks with the food providers on resuming operation is still ongoing.

10. The current method for delivering official documents will continue.

11. Starting July 27, not more than ½ of all the staff in a given academic/administrative office should work from home. Those that do should have their internet phone set up and abide by the one-hour flextime (clock in 8-9 a.m.; clock out 5-6 p.m.).

Munich. Long bonnet, short overhangs, low centre of gravity, soft top: the sporty two-seater doing its laps at the BMW test centre in Miramas in the south of France is instantly recognisable as a purebred roadster. The new BMW Z4 is currently undergoing another particularly important stage of the process towards serial production maturity, in this case involving driving dynamics testing of a heavily disguised prototype. This will provide key insights into the performance properties of the new model, whose genuine roadster characteristics, pure driving pleasure and captivating sporty flair will soon go out on public roads.

Trials at the Autodrome de Miramas are focusing on fine-tuning of all drive and suspension systems – the basis for the sporty driving experience offered by the new BMW Z4. The most intense form of new dynamic roadster performance is embodied by the BMW Z4 M40i. A new, extremely powerful in-line 6-cylinder engine, a lowered sports suspension with electronically controlled dampers, a newly developed front axle, M light alloy wheels with mixed tyres, an M sports brake system and an electronically controlled lock in the rear axle differential create an overall package that sees the BMW M Performance model setting a whole new benchmark for driving pleasure in the roadster segment.

"The vehicle concept of the new BMW Z4 is geared consistently towards agility and driving dynamics," explains Jos van As, Head of Application Suspension. "The high level of body stiffness and the very rigid suspension attachment provide the perfect basis for a set-up that guarantees the performance qualities of a genuine sports car in terms of steering precision as well as longitudinal and transverse acceleration."

Like the Nürburgring-Nordschleife, the Miramas test centre offers perfect conditions for the new BMW Z4 to demonstrate its driving dynamics potential. Used by BMW to develop and test new models for more than 30 years, the centre comprises a long asphalt oval and a motorway ring road for high-speed tests as well as slalom, serpentine and circular tracks and a number of handling courses and circuits featuring highly diverse types of surface. These are currently being used for detailed analysis and optimisation of the roadster's acceleration, steering and brake response. For example, the final form of the adaptive M suspension as it interacts with the rear axle limited-slip differential is developed on a circuit that is also used for testing purposes by BMW Motorsport.

This intense testing process already indicates that the new version of the roadster concept will offer a tangible increase in sporty flair in the new BMW Z4. The new generation will particularly introduce effective enhancements in terms of agile handling, spontaneity and precision when changing direction and accelerating in dynamic style out of bends – without losing out in the comfort disciplines.
